Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Zpace platform, mobile applications and related services (the "Service"), operated by Ubase LLC, a Wyoming limited liability company with its registered office at 1600 Van Lennen Avenue, Suite 101, Cheyenne, WY 82001, United States ("Ubase", "we", "us"). By creating an account or using the Service you agree to these Terms.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use Zpace. By using the Service, you represent that you meet these requirements.

2. The Service

Zpace is an online marketplace that connects customers ("Buyers") with verified third-party businesses ("Sellers") that offer products, services, appointments and reservations. Ubase facilitates discovery, communication and payment between Buyers and Sellers, but is not a party to any transaction between them except as expressly stated herein.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate, current and complete information during registration and keep it up to date.

4. Seller obligations

• Sellers must accurately describe their products, services or reservations and fulfill all confirmed orders in accordance with the terms disclosed to Buyers.
• Sellers are solely responsible for complying with applicable laws, including consumer protection, tax, licensing, health and safety regulations.
• Sellers authorize Ubase to collect payments on their behalf and to deduct the applicable platform fee before disbursing the remainder to the Seller's connected account.

5. Buyer obligations

Buyers agree to provide accurate billing and contact information, pay all fees due, and comply with each Seller's terms regarding the purchased product, service or reservation.

6. Payments

Payments on Zpace are processed by Stripe, Inc. ("Stripe"). By using the Service you also agree to Stripe's applicable terms, including the Stripe Connected Account Agreement (for Sellers) and the Stripe Services Agreement (available at stripe.com/legal). Ubase never stores full card details.

Ubase charges a platform fee of 5% plus $0.30 USD per successful transaction. Stripe processing fees apply separately and are disclosed at checkout and during Seller onboarding. Fees may change upon prior notice.

7. Refunds, cancellations and disputes

Refund and cancellation terms are set by each Seller and disclosed before purchase. Buyers should contact the Seller directly first. If a resolution cannot be reached, Ubase may mediate or process a refund at its discretion and may deduct refunded amounts from the Seller's future payouts. Buyers may also dispute a charge with their card issuer; chargebacks are handled in accordance with Stripe's rules and may result in the transaction amount being deducted from the Seller's balance.

8. Prohibited activities

You may not use Zpace to: (a) offer or buy goods or services that are illegal in the relevant jurisdiction; (b) infringe intellectual property rights; (c) engage in fraud, money laundering or evasion of taxes; (d) harass, threaten or deceive other users; (e) interfere with the Service's operation or security; (f) use automated means to scrape or overload the Service.

9. Content

You retain ownership of the content you submit to Zpace. By submitting content, you grant Ubase a worldwide, non-exclusive, royalty-free license to host, display, reproduce and distribute that content solely for the purpose of operating and promoting the Service.

10. Termination

We may suspend or terminate your account at any time if you violate these Terms, if required by law, or to protect the Service or other users. You may close your account at any time by contacting hello@zpace.us.

11. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Ubase does not warrant that the Service will be uninterrupted, error-free or secure, nor does it guarantee the quality, safety or legality of items offered by Sellers.

12. Limitation of liability

To the maximum extent permitted by law, Ubase's total liability arising out of or related to the Service is limited to the greater of (a) the total platform fees paid by you to Ubase in the twelve months preceding the claim, or (b) one hundred US dollars (USD 100). Ubase is not liable for indirect, incidental, special, consequential or punitive damages.

13. Indemnification

You agree to indemnify and hold harmless Ubase, its officers, employees and affiliates from any claim or demand, including reasonable attorneys' fees, arising out of your use of the Service, your violation of these Terms or your violation of any third-party right.

14. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Wyoming, unless required otherwise by applicable consumer law.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email at least 14 days before they take effect. Continued use of the Service after the changes become effective constitutes acceptance.
